In many cases, we serve as general counsel for companies and represent them in all aspects of their corporate life – from the original establishment of the enterprise through all aspects of its evolution and operation. We represent corporations in structuring their initial capitalization and in ongoing corporate financing transactions utilizing a wide range of public and private debt and equity instruments.

Law of Enterprises of 1989 made possible for the first time since the Second World War for a foreign corporation to establish a wholly owned subsidiary in Serbia.  All legal work on the incorporation of the first such subsidiary company was done by our office.  The company was 100% owned by Shell, which to this day we actively represent. Until the Law on Privatization of 2001, our firm incorporated a large number of wholly owned subsidiaries of foreign corporations that include DHL, Elektrolux, IKEA, and Xerox.

Since October 5, 2000, when Serbia finally opened up to foreign investment, types of investment have become diversified and more sophisticated.  The regulatory framework has changed to allow for such change.  Our office has actively participated in drafting and creating the new legal framework.  The change of legal framework has allowed for a larger scale investment in new industries, and new opportunities for a foreign investor.  In that regard, we acted as a counsel to M-Tel (consortium of Austrian private investors) in acquisition of a privately owned stake in capital of the largest mobile telecommunication company in Serbia, subsequent creation of a new mobile telecommunication company and its final sale to Telenor of Norway; counsel to Gruner & Jahr of Germany in acquisition of a stake in a major newspaper company in Serbia, with legal assistance in a subsequent sale of capital to another foreign investor; counsel to DuPont Group of USA in establishment of a subsidiary and variety of business operations in Serbia.

Thus Prica & Partners advised clients on number of acquisition through the Belgrade Stock Exchange, outside the stock exchange (e.g. takeover bid, hostile and friendly alike), on various status changes (mergers and divisions) as well as joint ventures (direct or through the SPVs).

We have also represented several foreign corporations (including Duferco, IFC etc.) as the creditors in bankruptcy procedures and contributed Doing Business project of the World Bank (editions for 2008 and 2009), by drafting chapters related to bankruptcy proceedings in Serbia.
