We have acted as counsel to M-Tel (a consortium of Austrian private investors) in (1) acquisition of a privately owned stake in capital of the largest mobile telecommunications company in Serbia (Mobtel), including legal due diligence report on the target company, support in negotiations with previous owners, drafting of the share purchase agreement and support throughout the process, including prior to and following the closing;(2) incorporation of a new entity (Mobi 63), leaving Mobtel as a shell company while transferring all of its assets to the newly incorporated entity, and (3) organizing an auction sale of Mobi 63 and its sale to Telenor; counsel to Sigma TV of Nicosia, Cyprus, the leading television station in Cyprus, in a public tender for national TV and radio broadcasting license in Serbia, including drafting of corporate acts in compliance with the laws of broadcasting, review of tender documents and legal assistance throughout the tender procedure; counsel to OTE of Greece in a potential acquisition of shares in the largest private telecommunications company in Montenegro, including legal due diligence report on the target company; counsel to Motion Avenue Balkans d.o.o, on-going services include incorporation of, a subsidiary of a Finish company, that offers interactive TV program formats and high quality mobile content services.
